These Terms of Service (“Terms”) govern your access to and use of ProxyJam and the related services provided by Pryvus Inc (“ProxyJam”, “we”, “us”, or “our”).

By creating an account, placing an order, purchasing a subscription, accessing the API, or using the Services, you agree to these Terms, our Acceptable Use Policy, Refund Policy, Privacy Policy, Cookie Policy, and any other policy incorporated by reference.

1. Eligibility

You may use the Services only if you are at least 18 years old and legally able to enter into a binding agreement. If you use the Services on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms.

The Services are intended for business and professional use only. We may refuse, restrict, suspend, or terminate access where a customer, transaction, jurisdiction, payment method, provider source, use case, or activity presents unacceptable legal, compliance, payment, card-network, sanctions, abuse, operational, or reputational risk.

2. Services

ProxyJam provides a compliance-controlled managed network access platform for legitimate business use cases. ProxyJam is not an open proxy, anonymous circumvention, botting, account-abuse, traffic-manipulation, or restriction-bypass service.

The Services include account management, customer support, billing administration, usage controls, provider coordination, compliance review, technical diagnostics, abuse monitoring, and service-level management. Customers purchase the managed Services from ProxyJam and do not purchase directly from any underlying provider and do not receive unmanaged pass-through access to third-party infrastructure.

ProxyJam sells access to its managed service layer, not ownership of, unrestricted control over, or direct access to any third-party network infrastructure. Customers purchase ProxyJam’s managed access service, not a direct resale of any specific third-party provider’s raw infrastructure.

Availability, location coverage, speed, compatibility, and performance may vary due to technical, provider, network, legal, or compliance factors. We do not guarantee uninterrupted availability or compatibility with any specific third-party website, platform, application, route, location, ASN, proxy type, provider, or use case.

2.1. Service Positioning and Access Controls

Access to the Services may be subject to customer verification, business profile review, use-case review, payment risk review, provider requirements, sanctions screening, and abuse monitoring. ProxyJam may deny, restrict, suspend, or terminate access where we determine that a customer, use case, payment, location, provider route, or activity presents legal, compliance, abuse, payment, card-network, operational, or reputational risk.

The Services may be used only for lawful, authorized, and legitimate business purposes. The Services may not be used to bypass restrictions, evade controls, hide unlawful conduct, deceive third parties, violate platform rules, violate payment network rules, violate third-party rights, or violate applicable law.

2.2. Merchant of Record and Third-Party Providers

Pryvus Inc is the merchant of record and contracting entity for purchases made through ProxyJam.

ProxyJam may use third-party infrastructure providers, network providers, data center providers, or other vendors to deliver parts of the Services. ProxyJam remains responsible for customer support, billing, account management, compliance controls, and enforcement of these Terms.

ProxyJam does not act as a payment facilitator, payment aggregator, or undisclosed merchant for third-party sellers.

All payments for the Services are made directly to Pryvus Inc, doing business as ProxyJam, for services provided by ProxyJam. ProxyJam does not process payments on behalf of undisclosed third-party merchants, sellers, or providers. Any infrastructure providers used by ProxyJam do not sell directly to customers through ProxyJam checkout and do not act as merchants of record for customer purchases.

2.3. Provider and Infrastructure Integrity

ProxyJam works only with infrastructure and network providers that are expected to maintain lawful rights, permissions, and controls for the resources they provide. ProxyJam does not knowingly offer, support, or facilitate access to compromised devices, malware-based networks, botnets, unauthorized residential devices, or infrastructure obtained without lawful permission. ProxyJam may suspend or remove any provider, route, location, or resource if we identify legal, abuse, security, consent, or compliance concerns.

3. Account Responsibilities

You must provide accurate information, and you are responsible for your account, credentials, API keys, and all activity conducted through them.

You must keep account credentials, API keys, access tokens, and dashboard access secure; maintain accurate account, billing, and compliance information; use the Services only for declared, lawful, and authorized use cases; cooperate with verification, abuse investigations, dispute investigations, provider requests, and legal compliance reviews; and immediately stop any activity that generates abuse reports, legal complaints, third-party objections, payment risk, provider risk, or regulatory risk.

4. Acceptable Use

You may not use the Services for fraud, spam, phishing, unauthorized access, sanctions evasion, or any activity that may expose ProxyJam to legal or reputational risk. For full details, see our Acceptable Use Policy at Acceptable Use Policy.

You may use the Services only to access systems, websites, APIs, platforms, networks, applications, or data where you have authorization, ownership rights, contractual rights, consent, or another lawful basis to do so.

5. Orders, Billing, Renewals, and Taxes

You agree to pay all fees shown at checkout or in your account dashboard, including applicable recurring subscription fees, usage-based fees, overage fees, and taxes where applicable.

Prices, billing intervals, renewal terms, plan limits, included usage, overage fees if any, and material service conditions are disclosed at checkout, in the customer dashboard, or in the applicable order flow before purchase.

Subscription plans renew automatically at the billing interval and price shown at checkout unless canceled before the next renewal date. By purchasing a subscription, you authorize ProxyJam and its payment processor, Stripe, Inc., to charge your selected payment method for recurring fees, applicable taxes, and any usage-based charges.

Before completing a purchase, you may be required to affirmatively confirm that you reviewed and agree to the billing terms, renewal terms, cancellation terms, Refund Policy, Acceptable Use Policy, and these Terms. We may retain checkout, acceptance, usage, and billing records to document your authorization and respond to billing questions, fraud reviews, or payment disputes.

You can cancel future renewals through your account dashboard or by contacting [email protected]. Cancellation stops future renewal charges but does not automatically refund fees already paid for the current billing period unless required by law or expressly allowed under our Refund Policy. We do not charge cancellation fees.

Where required by applicable law, we will provide renewal notices, cancellation instructions, and other required disclosures before charging a renewal fee.

For annual subscriptions, and where legally required or commercially reasonable, we may send renewal reminders before renewal. Customers remain responsible for canceling before the renewal date if they do not wish to continue the subscription.

Opening a payment dispute does not automatically cancel an active subscription. Customers should cancel future renewals through the account dashboard or by contacting [email protected].

If a payment fails, we may retry the payment, suspend access, downgrade the account, or terminate the Services after reasonable notice where practical.

6. Refunds

Refunds are governed by our Refund Policy available at Refund Policy and are generally final due to the digital and usage-based nature of the services.

Suspension or termination caused by policy violations, illegal activity, fraud, abuse, sanctions risk, or payment risk does not create a right to refund except where required by law.

7. Verification, Fraud Prevention, and Compliance

We may require identity, business, payment, use-case, or compliance information before or after providing access to the Services. This may include information about your business, intended use, billing details, beneficial ownership, location, and compliance controls.

We may refuse, restrict, suspend, or terminate access if you fail to provide requested information, provide inaccurate or incomplete information, present elevated fraud or compliance risk, violate sanctions or export-control rules, or use the Services in a way that creates legal, operational, payment, card-network, or reputational risk.

We may monitor usage patterns, payment activity, account activity, support history, abuse reports, and technical signals to detect fraud, abuse, policy violations, sanctions risk, or unauthorized use.

Depending on the account, geography, payment method, traffic pattern, use case, volume, or risk signal, ProxyJam may request target authorization evidence, business verification, beneficial ownership information, payment verification, provider approval, or additional compliance information.

8. Third-Party Providers

We depend on third-party infrastructure. We are not responsible for availability changes caused by external factors beyond our reasonable control.

We may change, limit, update, pause, or discontinue providers, locations, traffic routes, plans, APIs, access methods, or features where necessary for security, compliance, provider availability, service quality, legal requirements, or business operations.

9. Suspension and Termination

We may suspend or terminate access for breaches, payment failure, suspected fraud, or legal requirements.

We may immediately suspend, restrict, or terminate any account, API key, subscription, transaction, traffic flow, or access credential if we detect or reasonably suspect abuse, fraud, payment risk, illegal activity, sanctions risk, violation of these Terms, violation of third-party rights, excessive complaints, network abuse reports, chargeback abuse, or other risk to ProxyJam, its providers, customers, payment processors, banking partners, card networks, or third parties.

10. Sanctions, Export Controls, and Restricted Jurisdictions

The Services may not be used by, for, or for the benefit of any person, entity, wallet, account, organization, country, region, or jurisdiction subject to sanctions, embargoes, export controls, or restrictions administered by the United States, United Kingdom, European Union, United Nations, or any other applicable authority. We may screen customers, transactions, payment methods, traffic patterns, business information, and use cases for sanctions, export-control, and restricted-jurisdiction risk.

11. Disclaimer

The Services are provided on an “as is” and “as available” basis. We disclaim all warranties to the maximum extent permitted by law.

12. Limitation of Liability

Our liability is limited to the maximum extent permitted by law, not exceeding amounts paid in the preceding three months or USD 100.

To the maximum extent permitted by law, ProxyJam is not liable for indirect, incidental, special, consequential, punitive, exemplary, or lost-profit damages, including damages arising from service interruptions, provider outages, suspension, termination, loss of data, loss of business, or third-party claims related to customer misuse.

13. Indemnity

You agree to defend, indemnify, and hold harmless ProxyJam, Pryvus Inc, its officers, directors, employees, contractors, providers, payment processors, and partners from claims, losses, damages, liabilities, penalties, costs, and expenses arising from your use of the Services, violation of these Terms, violation of law, violation of third-party rights, payment fraud, disputes, chargebacks, abuse reports, or misuse of the Services.

14. Changes to the Services or Terms

We may modify the Services or Terms at any time; changes become effective upon posting.

15. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in Sheridan, Wyoming. Either party may seek injunctive relief in a court of competent jurisdiction. Nothing in this section limits any mandatory rights you may have under applicable consumer protection law in your country or state.

These Terms are governed by the laws of Wyoming, USA.
